Choosing the Right Business Structure

Company Registration Process

Registration in Kenya is handled through the Business Registration Service (BRS). The process involves name reservation, preparation of constitutional documents (Memorandum and Articles of Association), and filing with the Registrar of Companies.

You will also need to obtain a KRA PIN, register for VAT (if applicable), obtain relevant business permits and licenses, and register with the National Social Security Fund (NSSF) and Social Health Insurance Fund (SHIF) if you have employees.

Corporate Governance Requirements

Once incorporated, your company must comply with ongoing governance requirements under the Companies Act. These include maintaining proper registers, filing annual returns, holding annual general meetings, and keeping accurate financial records.
